These Terms and Conditions ("Terms") govern your access to and use of the www.shadeandcrown.com website (the "Website") and your purchase of products from Shade and Crown (ABN 60 739 037 366) ("Shade and Crown", "we", "us" or "our"). By accessing the Website or placing an order, you ("you" or "the customer") agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website or place an order.

1. About Us

Shade and Crown is an Australian-based supplier of hats and headwear, sold via the Website and delivered by Australia Post and other distribution partners. Any references to "we", "us" or "our" refer to Shade and Crown. Any references to "you" or "your" refer to the person accessing the Website or placing an order.

2. Use of the Website

You must be at least 18 years old, or have the consent of a parent or guardian, to place an order on the Website.
You agree to provide accurate, current and complete information when creating an account or placing an order.
You must not use the Website for any unlawful purpose, or in any way that could damage, disable, overburden or impair the Website.
You must not attempt to gain unauthorised access to any part of the Website, other accounts, or computer systems connected to the Website.
You must not use any automated system (including bots, scrapers or data mining tools) to access or extract data from the Website without our prior written consent.

3. Products and Product Descriptions

We take reasonable care to ensure that product descriptions, images, sizing information and pricing on the Website are accurate. However:

Colours may appear slightly different depending on your device's display settings.
Sizing charts are provided as a guide only, and slight variations in measurements may occur.
We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information at any time without prior notice, including after an order has been submitted.

4. Orders and Acceptance

Placing an order through the Website constitutes an offer to purchase. All orders are subject to acceptance and availability.
Receiving an order confirmation email does not guarantee that the item is in stock or that your order has been accepted. We will notify you as soon as possible if an item you have ordered is unavailable, and provide a refund or offer an alternative.
We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud, pricing errors, or where a product is unavailable. Where an order is cancelled, any payment made will be refunded in full.

5. Pricing and Payment

All prices displayed on the Website are in Australian Dollars (AUD) and are inclusive of GST, unless otherwise stated.
Shipping costs are additional and calculated at checkout, in accordance with our Shipping Information (see clause 7).
We take reasonable steps to ensure pricing is accurate. In the event of a genuine pricing error, we reserve the right to cancel the order and issue a full refund and will notify you as soon as reasonably possible.
Payment must be made in full at the time of ordering via the payment methods offered on the Website. By submitting payment details, you confirm you are authorised to use the payment method provided.

6. Delivery

Orders are delivered by Australia Post in accordance with our Shipping Information, available on the Website and summarised below. In the event of any inconsistency between this clause and our published Shipping Information, the most recently published Shipping Information will apply.

We aim to dispatch all orders within 48 hours of purchase (excluding public holidays and peak periods).
Estimated delivery times are provided as a guide only. We are not liable for delays caused by Australia Post, customs, severe weather, public holidays or other circumstances outside our reasonable control.
Free shipping is available on eligible Australian orders over the threshold stated on the Website at the time of purchase.
International orders may be subject to customs duties, import taxes and fees, which are the responsibility of the recipient and are not included in the item price or shipping cost.
Risk in the products passes to you on delivery to the address provided at checkout. It is your responsibility to ensure delivery details are accurate and that someone is available to receive the order, where required.

7. Returns, Refunds and Exchanges

Our approach to returns, refunds and exchanges — including eligibility criteria, timeframes and the return process — is set out in our Returns Policy, which forms part of these Terms and is incorporated by reference.

We offer a 30-day return period from the date of delivery for change-of-mind returns, subject to the conditions in our Returns Policy (including that items are unworn, unused, with tags attached and in original packaging).
We do not offer direct exchanges; customers wishing to exchange an item should return it for a refund and place a new order.
Nothing in this clause or our Returns Policy limits or excludes any rights you have under the Australian Consumer Law (see clause 8).

8. Australian Consumer Law

Our products come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). You are entitled to a replacement or refund for a major failure, and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

Nothing in these Terms, our Returns Policy, or our Shipping Information is intended to limit, exclude or modify, or purport to limit, exclude or modify, any consumer guarantee, right or remedy conferred on you by the ACL or any other applicable law that cannot be excluded, restricted or modified by agreement.

9. Intellectual Property

All content on the Website, including the Shade and Crown name, logo, product images, text, graphics and design, is owned by or licensed to Shade and Crown and is protected by copyright, trade mark and other intellectual property laws. You may not reproduce, distribute, modify or otherwise use any content from the Website for commercial purposes without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Shade and Crown excludes all liability for any indirect, special or consequential loss arising from your use of the Website or purchase of products, except where such liability cannot be excluded under the Australian Consumer Law.
We are not liable for delivery delays, loss or damage caused by Australia Post or other third-party couriers once an item has been dispatched, except to the extent required by law.
The Website is provided "as is". We do not warrant that the Website will be uninterrupted, error-free or free from viruses or other harmful components.
Nothing in these Terms limits any liability that cannot be limited or excluded under the Australian Consumer Law or other applicable law.

11. Privacy

12. Third-Party Links and Services

The Website may contain links to third-party websites or services, including Australia Post, which are not owned or controlled by Shade and Crown. We are not responsible for the content, terms or practices of any third-party website. Australia Post's own terms and conditions apply to the delivery of your order.

13. Changes to These Terms

We may update or amend these Terms from time to time without prior notice, to reflect changes to our business, legal requirements or the Website. The updated Terms will be posted on the Website with a revised effective date. Your continued use of the Website following any changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or your use of the Website will be subject to the exclusive jurisdiction of the courts of that State or Territory.
